Presenter Agreement
This Agreement (“Agreement”), made this _______ day of _____________, 20__, is for the services (“Services”) described below between the undersigned teacher (“Teacher”) and the buyer, Zion Yoga Fest, LLC., who is to conduct these Services at the event listed below (hereinafter referred to as “Buyer”).
1. Agreement to Teach:
Teacher agrees to provide the workshop/class/performance/event in accordance with the terms of this Agreement and any attached addenda or riders.
2. General Agreement of what Teacher is providing:
Price of workshops: Buyer agrees to pay Teacher or Teacher’s agent an aggregate 10% commission paid from sales with Teacher affiliate code, A Full Festival Pass, and 50% off an additional Festival Pass. A $0 deposit to be paid and full remaining agreement amount or commissions paid via online payment system or check within 30 days of end of the Zion Yoga Fest (“Event”).
3. Excuse of Obligations/Cancellations:
Buyer and Teacher shall be excused from their obligations in the event of proven sickness, accident, riot, strike, epidemic, act of God or any other legitimate condition or occurrence beyond their respective control. Teacher may cancel at least 3 months prior to the event and return all payment amounts to Buyer, In the event Teacher cancels within 30 days of event all payments must be returned to Buyer including additional expenses determined at discretion of Buyer. Buyer agrees to prepare and file all tax information required of a person who hires an
independent contractor.
4. Tax Documentation and Reporting
The Buyer shall not be required to issue 1099 forms to the Teacher unless specific circumstances arise that necessitate such reporting under applicable tax laws. Instead, the Teacher shall provide the Buyer with a receipt or written documentation detailing the services rendered, which the Buyer will record as a business expense for tax purposes. Teacher acknowledges that he or she has sole responsibility for the payment of any Federal or State taxes arising from the monies paid by Buyer to Teacher
5. Media Release
I consent to the use of my image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If Teacher does not consent, he or she must notify the Event organizers in writing before engaging in the Event activities.
6. Arbitration and Venue
Any dispute arising out of this Agreement must first go through mediation. Any dispute that is unable to be resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The exclusive venue for arbitration shall be in Washington County, Utah. Attorney’s fees will be awarded to the prevailing party. I waive the right to participate in any class-action lawsuit or class arbitration related to disputes under this Agreement.
7. Indemnify for Copyright Infringement:
Teacher represents and warrants that he or she is knowledgeable about the copyright laws of the United States as applicable to the workshop/class/performance/event. Teacher shall not perform any copyrighted materials of others during workshop/class/performance/event without full compliance with such applicable copyright laws. In the event that the Teacher breaches this representation, warranty and covenant, Teacher hereby agrees to indemnify and hold harmless Buyer and its employees, guests and agents from and against all liability, loss,
damages, claims, and expenses (including attorney’s fees) arising out of said breach.
Independent Contractor: Teacher acknowledges that he or she is an independent contractor and not an employee of Buyer. Teacher shall have sole control and direction in the conduct of the workshop/class/performance/event presented.
8. Merchandising:
Teacher may sell any goods, products, merchandise or services (other than the services provided herein) only during, directly before, or directly following the assigned time that they are teaching or conducting their class or presentation and may not infringe on the time or distract from the presentation that is happening before and after Teacher’s presentation.
9. Promotion:
Buyer shall be entitled to advertise and promote the appearance of Teacher at the event. Teacher acknowledges that Buyer will rely on the terms in all such promotions and advertising such as marketing materials to be printed. Teacher hereby acknowledges and agrees that Buyer may use the Teacher’s name, photograph, likeness, facsimile signature and any other promotional materials in all such promotions, advertising or other activities used to
increase attendance at the event. Teacher agrees to post event on his or her personal social media, website, email list, and promote event to his or her fan and client outreach audience.
Requirements for posting are: Minimum 1-3 posts per month promoting Zion Yoga Fest (“ZYF”), at least one post on the last 7 days of the month. Promotion of (via tagging) Zion Yoga Fest Sponsors during the event (sponsor list and tags will be given by ZYF), at least one post a day during the event tagging Zion Yoga Fest, if accommodations are provided, tagging your accommodation/where you are staying during the weekend of The Fest.
10. Third-Party Excursions
Teacher may offer services at a third-party location or with a third-party business partner, provided the Teacher assumes full responsibility for ensuring compliance with all applicable laws and regulations. Teacher is further required to inform participants of any additional responsibilities or liabilities arising from these third party partners. Teacher acknowledges that such third-party partners are independent entities, and Buyer is not liable for their actions, negligence, or omissions. Teacher and third party partners are required to provide liability waivers to participants engaging in these activities and agrees to release Buyer from any claims arising from third-party operations.
11. Event Activities & Risks
The Event will take place in an outdoor setting, spanning from sunrise to after dark. Teacher acknowledges and assumes risks related to weather, terrain, and other outdoor conditions. Buyer is not liable for injuries or damage to materials, products, or property resulting from these risks. If Teacher is acquiring a Vendor Booth, Teacher is responsible for securing their booths and products left overnight between festival days. While Buyer hires security, it does not guarantee full protection, and Teacher agrees that Buyer is not liable for theft, vandalism, or damage to their booth or materials. If Teacher is presenting in the Kids Area, they agree to ensure all activities are conducted in a safe, responsible, and appropriate manner. Teacher acknowledges that they are solely responsible for the safety and supervision of minors in their
care during the event. Buyer assumes no liability for any injuries, accidents, or incidents involving children during Teacher interactions or activities. Teacher further agrees to comply with any applicable regulations or guidelines related to child safety and interaction as set forth by the Buyer.
12. Force Majeure
Zion Yoga Fest is not responsible for any cancellations, delays, or interruptions in the Event caused by acts of God, natural disasters, governmental orders, pandemics, or any other unforeseen circumstances beyond its reasonable control. In such cases, ZYF may reschedule the Event or modify its format and will communicate any changes promptly. Refunds or credits will be issued at ZYF’s sole discretion.
13. Behavioral Expectations
Teacher must adhere to a strict code of conduct, which prohibits harassment (sexual or otherwise), use or distribution of controlled substances, and any other prohibited behaviors. Teacher violating these policies assumes full responsibility for their actions and will be removed from the Event without refund or further compensation. Buyer reserves the right to enforce this code of conduct to ensure a safe and respectful environment.
14. Acknowledgement:
Teacher agrees, acknowledges, and grants permission for Zion Yoga Fest, LLC to record video or photograph taught classes, workshops, or any interaction Teacher performs during event to use in marketing materials, digital access passes for participants to watch and learn after event. Teacher agrees and gives permission to Buyer to record, photograph, use, and distribute Teacher workshop/class/performance/event and to post said recordings and photographs online, have access and permission to use and distribute indefinitely.
15. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your agreement on your registration form and participating in Event will constitute this as a binding agreement.
General Participant Agreement and WAIVER OF LIABILITY
1. Participation Acknowledgment
I hereby agree to the following:
I am voluntarily participating in the Zion Yoga Fest (“Event”), which includes but is not limited to yoga sessions, workshops, wellness programs, third-party partners, and other outdoor activities (“Activities”). I understand that the Event takes place in an outdoor setting, with activities occurring from sunrise to after dark, and may involve weather changes, challenging terrain, and other natural conditions. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
I understand that the opinions, services, and instruction provided by Zion Yoga Fest, LLC (“ZYF”), its instructors, or other representatives are not medical advice, consultation, therapy, or treatment. ZYF will not render any medical services, including the diagnosis of any physical or mental condition. Participation in Event activities is not a substitute for medical advice or treatment. Participation in the Event is voluntary, and participants should discontinue any activity that causes discomfort or concern about their health. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
2. Assumption of Risks
I understand that yoga and other physical activities involve inherent risks, including but not limited to minor injuries (e.g., sprains, strains), serious injuries (e.g., fractures, concussions), or other health complications. I assume all risks, known or unknown, associated with my participation in the Event and accept full responsibility for any injury, illness, or property damage that may result. I am responsible for monitoring my physical limitations and ensuring that I do not exceed them. Risks include environmental factors, interactions with other participants, and equipment use.
I understand that:
-Third-Party Partners: Some Activities, such as guided hiking, canyoneering, rock climbing, biking, 4-wheelers, equipment rentals, accommodations, or partnerships with yoga studios, are operated by independent third-party entities (“Third Parties”). These Third Parties are solely responsible for their offerings, and Zion Yoga Fest disclaims all liability related to such Activities.
-Outdoor Setting Risks: Activities may involve physical exertion, uneven terrain, weather changes, wildlife, and other natural hazards.
-Vendor-Provided Products or Services: I acknowledge that vendors or sponsors at the Event may offer products that include various ingredients or substances that may cause a reaction for certain people, and I assume all risks associated with consuming or using such products. Zion Yoga Fest disclaims liability for actions or offerings by vendors or sponsors.
-General Risks: Participation in the Event involves risks of personal injury, illness, property damage, or other unforeseen issues, including those arising from other participants’ actions or omissions.
3. Medical Representation
I warrant that I am physically and mentally fit to participate in the Event and do not have any
condition that would pose a risk to my health or safety or that of others. I further acknowledge that ZYF is not responsible for pre-existing medical conditions or injuries sustained before the Event and that I am solely responsible for informing ZYF and its Released Parties of any medical concerns.
4. Release of Liability
In consideration of participating in the Activities, I:
-Assume all risks, known and unknown, associated with the Activities and the Event.
-Release and discharge Zion Yoga Fest, its organizers, employees, agents, volunteers, sponsors, and affiliates (“Released Parties”) from any and all claims, liabilities, or causes of action arising from my participation in the Event. This waiver applies to any and all claims under state or federal laws, to the fullest extent permitted by law, except for claims resulting from gross negligence or willful misconduct by the Released Parties.
5. Indemnification
I agree to indemnify and hold harmless the Released Parties from any claims, damages, or expenses (including attorney fees) arising from my actions or omissions during the Event. This indemnity does not apply to claims resulting from gross negligence or willful misconduct by the Released Parties.
6. Behavioral Expectations
I agree to:
-Adhere to a code of conduct that prohibits harassment, including sexual harassment or other
inappropriate behaviors, as well as the use or distribution of controlled substances during the Event.
-Refrain from engaging in any prohibited behaviors or actions that endanger others or violate Event policies.
-Understand that failure to comply with these expectations may result in my removal from the Event without refund, and I assume full responsibility for my actions.
6. Media Release
I consent to the use of my image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If I do not consent to such use, I will notify the Event in writing before participating in the Activities.
7. Arbitration and Venue
Any dispute arising out of this Agreement must first go through mediation. Any dispute that is unable to be resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole venue for arbitration shall be in Washington County, Utah. Each party shall bear its own costs and attorney fees unless otherwise awarded by the arbitrator.
8. Governing Law and Severability
This Agreement shall be governed by the laws of the State of Utah. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9. Force Majeure
ZYF is not responsible for any cancellations, delays, or interruptions in the Event caused by acts of God, natural disasters, governmental orders, pandemics, or any other unforeseen circumstances beyond its reasonable control. In such cases, ZYF may reschedule the Event or modify its format and will communicate any changes promptly. Refunds or credits will be issued at ZYF’s sole discretion.
10. Minors
If the participant is a minor: I as the parent or legal guardian of (the “Minor”), hereby consent to the Minor’s participation in the Event. I understand and accept all risks on behalf of the Minor and agree to the terms of this Release and Waiver of Liability.
Acknowledgment of Understanding
I have read this agreement carefully, understand its terms, and voluntarily agree to its conditions. By purchasing my pass, participating in Event activities I agree to this agreement, I acknowledge that I am waiving substantial legal rights, including the right to sue.
Refund Policy
NO REFUNDS AT ANY TIME.
Transfer Policy
NO REFUNDS AT ANY TIME but you may transfer your pass to another person's name. The cost to transfer is $10.
