Vendor Agreement
This Vendor Agreement (this “Agreement”) is entered into by and between Zion Yoga Fest, LLC (“ZYF”) and_______________ (“Vendor”). This Agreement outlines the standards that the Vendor agrees to follow when participating in the Zion Yoga Fest (the “Event”).
1. Vendor Fees
Vendor agrees to pay the vendor fee, as outlined in the payment terms, and any additional fees associated with the products being advertised or distributed. The vendor fee details, including amounts and deadlines, are specified in the event’s official documentation. Payment is non-refundable unless otherwise stated herein and must be made in full prior to the event. ZYF reserves the right to deny participation if payment is not received by the specified deadline.
2. Exclusive Use of Space and Subletting Restrictions
Vendor agrees to use the space assigned exclusively for their business activities as outlined in their application. Subletting or sharing this space is strictly prohibited unless explicitly permitted in writing by ZYF and agrees not to sub-let their space to anyone else or share the space with other entities or individuals without prior written consent from ZYF.
3. Compliance with the Law
The Vendor agrees to strictly observe all laws and ordinances of the State of Utah, including but not limited to health, safety, and environmental regulations, Washington County, Washington County Health Department, and the Event host city. Specific attention must be paid to rules regarding vendor permits, food handling (if applicable), and fire safety standards, among others that relate to the business conducted by the vendor together with all rules and regulations. Violation of or failure to comply with any of said laws or regulations shall be cause for cancellation of this agreement and will result in the forfeiture of any payments made to ZYF. The Vendor further agrees to reimburse ZYF for any costs, fines, or penalties resulting from Vendor’s non-compliance with these laws and regulations.
4. Vendor Confirmation Documents
A signed release waiver, Indemnification Agreement, payment, and this Agreement are due in order to confirm your spot and before ZYF is able to act on vendor packages for your business via Vendor Agreement. This form can be signed and emailed to [email protected] or by agreeing to and submitting your application online. ZYF is not liable for processing delays caused by incomplete submissions by the Vendor.
5. Refunds
Up to $100 refunds will be issued ONLY IF the Event is cancelled due to unforeseen circumstances, such as force majeure and at ZYF discretion. If Vendor cancels before 45 days of event’s start, $100 of your initial payment will be refunded. NO REFUNDS will be given for cancellation by Vendor if canceled within 45 days before the event. Any cancellations within 45 days of the Event are non-refundable. Refunds for cancellation of sponsor packages, food trucks, or any other vendor- related services are subject to these terms and may be further limited at the sole discretion of ZYF. ZYF reserves the right to modify refund policies in cases of force majeure or other unforeseeable circumstances.
6. Sales Regulations
Taxes, permits, certificates, and any licenses required are the responsibility of the Vendor. This includes compliance with Utah state sales tax obligations and obtaining the necessary food handling or fire safety permits if applicable. Vendors are allowed to sell products and are responsible for all taxes associated with such sales. Free samples of products may be provided. ZYF reserves the right to limit the number and type of Vendors at its sole discretion and may relocate or reassign Vendor spaces if deemed necessary for event management.
7. Third-Party Partners
Vendors may offer services at a third-party location or with a third-party business partner, provided they assume full responsibility for ensuring compliance with all applicable laws and regulations. Vendors are further required to inform participants of any additional responsibilities or liabilities arising from any excursions provided by third-party partners. Vendors acknowledge that such third-party partners are independent entities, and ZYF is not liable for their actions, negligence, or omissions. Vendors are required to provide liability waivers to participants engaging in these excursions and agree to release ZYF from any claims arising from third-party operations.
8. Event Activities & Risks
The Event will take place in an outdoor setting, spanning from sunrise to after dark. Vendors acknowledge and assume risks related to weather, terrain, and other outdoor conditions. ZYF is not liable for injuries or damage to materials, products, or property resulting from these risks. Vendors are responsible for securing their booths and products left overnight between festival days as well as securing their booth during the day to account for participants and weather. While ZYF hires security, it does not guarantee full protection, and Vendors agree that ZYF is not liable for theft, vandalism, or damage to their booth or materials.
9. Behavioral Expectations
Vendors must adhere to a strict code of conduct, which prohibits harassment (sexual or otherwise), use or distribution of controlled substances, and any other prohibited behaviors. Vendors violating these policies assume full responsibility for their actions and will be removed from the Event without refund or further compensation. ZYF reserves the right to enforce this code of conduct to ensure a safe and respectful environment.
10. Insurance Requirements
Vendors are required to maintain liability insurance coverage, including general liability and product liability, to participate in the Event. Proof of insurance must be provided to ZYF no later than 14 days before the Event start date. Failure to provide proof of insurance may result in cancellation of participation without refund. Vendors must ensure their policies name Zion Yoga Fest as an additional insured.
11. Force Majeure
ZYF is not responsible for any cancellations, delays, or interruptions in the Event caused by acts of God, natural disasters, governmental orders, pandemics, or any other unforeseen circumstances beyond its reasonable control. In such cases, ZYF may reschedule the Event or modify its format and will communicate any changes promptly. Refunds or credits will be issued at ZYF’s sole discretion.
12. Arbitration and Venue
In the event of a dispute arising from this Agreement, I agree to resolve the matter through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole venue for arbitration shall be in Washington County, Utah. Attorney’s fees will be awarded to the prevailing party.
13. Indemnification Form
Vendors agree to indemnify and hold ZYF harmless for any claims, damages, or losses arising from their participation in the Event. This includes but is not limited to claims by third parties, damages to property, and personal injuries caused by the Vendor’s activities. Vendors acknowledge that this indemnification extends to ZYF’s employees, volunteers, sponsors, and partners.
14. Acknowledgement
By participating in Zion Yoga Fest and submitting you agreeing to this agreement, you agree to the Release, Waiver, and Indemnification terms (found below) as well as all rules, regulations, and policies outlined by ZYF. Failure to comply may result in immediate termination of this agreement and removal from the Event without refund.
Release, Waiver, and Indemnification Agreement
1. General Release and Waiver: Vendors release ZYF from all claims arising from participation in the Event, except those caused by ZYF’s gross negligence or willful misconduct.
2. No Legal Action: Vendors agree not to pursue legal action against ZYF in relation to the Event.
3. Media Release: Vendors consent to ZYF’s use of their images for promotional purposes unless expressly stated otherwise in writing.
4. Assumption of Risk: Vendors voluntarily assume all risks associated with their participation in the Event, including but not limited to physical injury, property damage, or loss.
5. Governing Law and Arbitration: This Agreement is governed by Utah law. Any disputes must be resolved through arbitration in Washington County, Utah.
6. Severability: If any provision is deemed invalid, the remaining provisions remain enforceable to the fullest extent of the law.
15. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your participation and agreement will constitute this as a binding agreement.
Sponsor Agreement
This Sponsor Agreement (this “Agreement”) is entered into by and between Zion Yoga Fest, LLC (“ZYF”) and___________________ (“Sponsor”). This Agreement outlines the standards that the Sponsor agrees to follow when participating in the Zion Yoga Fest (the “Event”).
1. Payment Plan
Sponsor agrees to follow the payment plan outlined in the Sponsorship Package (“Package”) that the Sponsor has chosen. Failure to adhere to the payment plan may result in immediate termination of this agreement without refund, and Sponsor shall remain liable for any unpaid amounts.
2. Exclusive Use of Benefits and Subletting Restrictions
Sponsor agrees to accept the benefits included in the Package they have selected and will not sub-let their space or resell benefits to anyone else. Any violation of this provision will result in the forfeiture of sponsorship benefits and termination of the agreement without refund.
3. Compliance with the Law
The Sponsor agrees to strictly observe all laws and ordinances of the State of Utah, Washington County, Washington County Health Department, the Event host city which in any respect relates to the business conducted by the Sponsor, together with all rules and regulations. Violation of or failure to comply with any of said laws or regulations shall be cause for cancellation of this agreement, resulting in the forfeiture of any payments made to ZYF. The Sponsor further agrees to reimburse ZYF for any costs, fines, or penalties resulting from Sponsor’s non-compliance with these laws and regulations.
4. Sponsor Confirmation Documents
A signed release waiver, Indemnification Agreement, payment, and this Agreement are due in order to confirm you as a Sponsor and before ZYF is able to act on the Package for your business via Sponsor Agreement. This form can be signed and emailed to [email protected] or by signing and submitting it online. Submission of any required documentation or payments after the deadlines outlined by ZYF may result in delayed sponsorship benefits or cancellation of this agreement at ZYF’s discretion without refund.
5. Refunds
Refunds will be issued ONLY IF the Event is cancelled because of unforeseen circumstances and at ZYF’s discretion. If Sponsor cancels before 45 days of event start, $100 of your initial payment will be refunded. NO REFUNDS will be given for cancellation by Sponsor if
canceled up to 45 days before the event. Any cancellations within 45 days of the Event are non-refundable. No refunds are offered on sponsor packages. Food trucks refund policy is the same as Sponsor refund policy. ZYF reserves the right to modify or reschedule the Event at its sole discretion. In such cases, no refund will be issued; however, sponsorship benefits may be carried forward to the rescheduled event or another comparable opportunity as determined by ZYF.
6. Sales Regulations
Taxes, permits, certificates, and any licenses required are the responsibility of the Sponsor. Sponsors are allowed to sell products and are responsible for all taxes associated with such sales. Free samples of products may be provided. ZYF reserves the right to limit the number and types of Sponsors. ZYF also reserves the right to review and approve all products and materials provided or sold by Sponsors during the event to ensure alignment with event values and policies. ZYF may reject or remove any product, material, or Sponsor from the event without prior notice and without refund.
7. Third-Party Excursions
Sponsors may offer services at a third-party location or with a third-party business partner, provided they assume full responsibility for ensuring compliance with all applicable laws and regulations. Sponsors are further required to inform participants of any additional responsibilities or liabilities arising from these excursions. Sponsors acknowledge that such third-party partners are independent entities, and ZYF is not liable for their actions, negligence, or omissions. Sponsors are required to provide liability waivers to participants engaging in these excursions and agree to release ZYF from any claims arising from third-party operations.
8. Event Activities & Risks

14. Acknowledgement
By participating in Zion Yoga Fest and signing this agreement, you agree to the Release, Waiver, and Indemnification terms (found below) as well as all rules, regulations, and policies outlined by ZYF. Failure to comply may result in immediate termination of this agreement and removal from the Event without refund.
Release, Waiver, and Indemnification Agreement

15. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your agreement and participation below will constitute this as a binding agreement.
Release, Waiver, and Indemnification Agreement
This Release, Waiver, and Indemnification Agreement is hereby given by _________________________(“Indemnitor”), on the one hand, in favor of Zion Yoga Fest, LLC, Event Committee; and all other employees, sponsors, businesses, donors, volunteers, organizers, venues and fundraisers (“Indemnitees”). RECITALS WHEREAS, Indemnitor is a Sponsor or participant at Zion Yoga Fest (hereinafter the “Event”); to be held the day of ____________ 20____ , at properties owned, managed, controlled or rented/leased by Zion Yoga Fest, LLCand Event organizing committee or held virtually; and WHEREAS, Indemnitor recognizes the potential for risk of harm to persons and property at the Event; and
WHEREAS, Indemnitor desires that Indemnitees not be at risk for activities of the Sponsors at the Event, including the activities of Indemnitor. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Indemnitor covenants as follows:
AGREEMENT
1. General Release and Waiver:
Indemnitor hereby releases Indemnitees and forever waives Indemnitor’s claims against Indemnitees for any and all claims, causes of action, damages, demands, penalties, and costs, including attorney fees that arise in relation to the Event. This Release extends to claims resulting from the negligence of Indemnitees, except to the extent such claims are caused by the gross negligence or willful misconduct of Indemnitees. Indemnitor acknowledges that this Release applies to all claims or causes of action which currently exist or which have existed, or which may arise or are discovered in the future in relation to Indemnitor’s activities at the Event. Indemnitor expressly waives all rights under any statute or common law principle that would otherwise limit the scope of this Release.
2. No Legal Action:
Indemnitor represents and agrees that they will take no legal action of any kind against Indemnitees in relation to the Event.
3. Media Release
Sponsor consents to the use of its image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If Sponsor does not consent, it will notify the Event organizers in writing before participating. If Sponsor does not consent to such use, it will notify the Event organizers in writing before participating in the Activities.
4. Indemnification Obligations:
Indemnitor shall indemnify and hold Indemnitees harmless for any and all claims, demands, losses, costs, obligations, and liabilities Indemnitees may incur or suffer in direct or indirect relation to: Indemnitor’s acts, omissions, or misconduct at the Event; Any claim by a third party against Indemnitees arising out of Indemnitor’s participation in the Event; Indemnitor’s breach of any agreement, covenant, or warranty in this Agreement; or Claims arising from the organization, operation, or participation in the Event, including claims brought by third parties related to Event operations.
5. Legal Costs:
The indemnity obligations of Indemnitor under this paragraph shall include indemnity for reasonable attorney fees and court costs incurred in defending or settling such claims.
6. Governing Law and Jurisdiction:
This Agreement shall be governed by the laws of the State of Utah and shall be binding upon Indemnitor’s heirs, successors, agents, or assigns. All claims and disputes related to this Agreement shall be resolved exclusively through arbitration. The arbitration venue shall be in Washington County, Utah. Indemnitor waives any objections to the jurisdiction and venue of such arbitration.
7. Third-Party Beneficiaries:
This Agreement is for the benefit of:
(i) Indemnitees, their employees, officers, agents, affiliates, and assigns; and
(ii) all Zion Yoga Fest, LLC employees, volunteers, businesses, donors, sponsors, organizers, and fundraisers.
8. Severability:
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
9. Assumption of Risk:
Indemnitor acknowledges and voluntarily assumes all risks associated with participation in the Event, including but not limited to physical injury, property damage, or reputational harm.
10. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your agreement, participation, and payments below will constitute this as a binding agreement.
General Participant Agreement and WAIVER OF LIABILITY
1. Participation Acknowledgment
I hereby agree to the following:
I am voluntarily participating in the Zion Yoga Fest (“Event”), which includes but is not limited to yoga sessions, workshops, wellness programs, third-party partners, and other outdoor activities (“Activities”). I understand that the Event takes place in an outdoor setting, with activities occurring from sunrise to after dark, and may involve weather changes, challenging terrain, and other natural conditions. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
I understand that the opinions, services, and instruction provided by Zion Yoga Fest, LLC (“ZYF”), its instructors, or other representatives are not medical advice, consultation, therapy, or treatment. ZYF will not render any medical services, including the diagnosis of any physical or mental condition. Participation in Event activities is not a substitute for medical advice or treatment. Participation in the Event is voluntary, and participants should discontinue any activity that causes discomfort or concern about their health. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
2. Assumption of Risks
I understand that yoga and other physical activities involve inherent risks, including but not limited to minor injuries (e.g., sprains, strains), serious injuries (e.g., fractures, concussions), or other health complications. I assume all risks, known or unknown, associated with my participation in the Event and accept full responsibility for any injury, illness, or property damage that may result. I am responsible for monitoring my physical limitations and ensuring that I do not exceed them. Risks include environmental factors, interactions with other participants, and equipment use.
I understand that:
-Third-Party Partners: Some Activities, such as guided hiking, canyoneering, rock climbing, biking, 4-wheelers, equipment rentals, accommodations, or partnerships with yoga studios, are operated by independent third-party entities (“Third Parties”). These Third Parties are solely responsible for their offerings, and Zion Yoga Fest disclaims all liability related to such Activities.
-Outdoor Setting Risks: Activities may involve physical exertion, uneven terrain, weather changes, wildlife, and other natural hazards.
-Vendor-Provided Products or Services: I acknowledge that vendors or sponsors at the Event may offer products that include various ingredients or substances that may cause a reaction for certain people, and I assume all risks associated with consuming or using such products. Zion Yoga Fest disclaims liability for actions or offerings by vendors or sponsors.
-General Risks: Participation in the Event involves risks of personal injury, illness, property damage, or other unforeseen issues, including those arising from other participants’ actions or omissions.
3. Medical Representation
I warrant that I am physically and mentally fit to participate in the Event and do not have any
condition that would pose a risk to my health or safety or that of others. I further acknowledge that ZYF is not responsible for pre-existing medical conditions or injuries sustained before the Event and that I am solely responsible for informing ZYF and its Released Parties of any medical concerns.
4. Release of Liability
In consideration of participating in the Activities, I:
-Assume all risks, known and unknown, associated with the Activities and the Event.
-Release and discharge Zion Yoga Fest, its organizers, employees, agents, volunteers, sponsors, and affiliates (“Released Parties”) from any and all claims, liabilities, or causes of action arising from my participation in the Event. This waiver applies to any and all claims under state or federal laws, to the fullest extent permitted by law, except for claims resulting from gross negligence or willful misconduct by the Released Parties.
5. Indemnification
I agree to indemnify and hold harmless the Released Parties from any claims, damages, or expenses (including attorney fees) arising from my actions or omissions during the Event. This indemnity does not apply to claims resulting from gross negligence or willful misconduct by the Released Parties.
6. Behavioral Expectations
I agree to:
-Adhere to a code of conduct that prohibits harassment, including sexual harassment or other
inappropriate behaviors, as well as the use or distribution of controlled substances during the Event.
-Refrain from engaging in any prohibited behaviors or actions that endanger others or violate Event policies.
-Understand that failure to comply with these expectations may result in my removal from the Event without refund, and I assume full responsibility for my actions.
6. Media Release
I consent to the use of my image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If I do not consent to such use, I will notify the Event in writing before participating in the Activities.
7. Arbitration and Venue
Any dispute arising out of this Agreement must first go through mediation. Any dispute that is unable to be resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole venue for arbitration shall be in Washington County, Utah. Each party shall bear its own costs and attorney fees unless otherwise awarded by the arbitrator.
8. Governing Law and Severability
This Agreement shall be governed by the laws of the State of Utah. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9. Force Majeure

10. Minors
If the participant is a minor: I as the parent or legal guardian of (the “Minor”), hereby consent to the Minor’s participation in the Event. I understand and accept all risks on behalf of the Minor and agree to the terms of this Release and Waiver of Liability.
Acknowledgment of Understanding
I have read this agreement carefully, understand its terms, and voluntarily agree to its conditions. By purchasing my pass, participating in Event activities I agree to this agreement, I acknowledge that I am waiving substantial legal rights, including the right to sue.
Refund Policy
NO REFUNDS AT ANY TIME.
Transfer Policy
NO REFUNDS AT ANY TIME but you may transfer your pass to another person's name. The cost to transfer is $10.

Up to $100 refunds will be issued ONLY IF the Event is cancelled due to unforeseen circumstances, such as force majeure and at ZYF discretion. If Vendor cancels before 45 days of event’s start, $100 of your initial payment will be refunded. NO REFUNDS will be given for cancellation by Vendor if canceled within 45 days before the event. Any cancellations within 45 days of the Event are non-refundable. Refunds for cancellation of sponsor packages, food trucks, or any other vendor- related services are subject to these terms and may be further limited at the sole discretion of ZYF. ZYF reserves the right to modify refund policies in cases of force majeure or other unforeseeable circumstances.
6. Sales Regulations
Taxes, permits, certificates, and any licenses required are the responsibility of the Vendor. This includes compliance with Utah state sales tax obligations and obtaining the necessary food handling or fire safety permits if applicable. Vendors are allowed to sell products and are responsible for all taxes associated with such sales. Free samples of products may be provided. ZYF reserves the right to limit the number and type of Vendors at its sole discretion and may relocate or reassign Vendor spaces if deemed necessary for event management.
7. Third-Party Partners
Vendors may offer services at a third-party location or with a third-party business partner, provided they assume full responsibility for ensuring compliance with all applicable laws and regulations. Vendors are further required to inform participants of any additional responsibilities or liabilities arising from any excursions provided by third-party partners. Vendors acknowledge that such third-party partners are independent entities, and ZYF is not liable for their actions, negligence, or omissions. Vendors are required to provide liability waivers to participants engaging in these excursions and agree to release ZYF from any claims arising from third-party operations.
8. Event Activities & Risks
The Event will take place in an outdoor setting, spanning from sunrise to after dark. Vendors acknowledge and assume risks related to weather, terrain, and other outdoor conditions. ZYF is not liable for injuries or damage to materials, products, or property resulting from these risks. Vendors are responsible for securing their booths and products left overnight between festival days as well as securing their booth during the day to account for participants and weather. While ZYF hires security, it does not guarantee full protection, and Vendors agree that ZYF is not liable for theft, vandalism, or damage to their booth or materials.
9. Behavioral Expectations
Vendors must adhere to a strict code of conduct, which prohibits harassment (sexual or otherwise), use or distribution of controlled substances, and any other prohibited behaviors. Vendors violating these policies assume full responsibility for their actions and will be removed from the Event without refund or further compensation. ZYF reserves the right to enforce this code of conduct to ensure a safe and respectful environment.
10. Insurance Requirements
Vendors are required to maintain liability insurance coverage, including general liability and product liability, to participate in the Event. Proof of insurance must be provided to ZYF no later than 14 days before the Event start date. Failure to provide proof of insurance may result in cancellation of participation without refund. Vendors must ensure their policies name Zion Yoga Fest as an additional insured.
11. Force Majeure
ZYF is not responsible for any cancellations, delays, or interruptions in the Event caused by acts of God, natural disasters, governmental orders, pandemics, or any other unforeseen circumstances beyond its reasonable control. In such cases, ZYF may reschedule the Event or modify its format and will communicate any changes promptly. Refunds or credits will be issued at ZYF’s sole discretion.
12. Arbitration and Venue
In the event of a dispute arising from this Agreement, I agree to resolve the matter through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole venue for arbitration shall be in Washington County, Utah. Attorney’s fees will be awarded to the prevailing party.
13. Indemnification Form
Vendors agree to indemnify and hold ZYF harmless for any claims, damages, or losses arising from their participation in the Event. This includes but is not limited to claims by third parties, damages to property, and personal injuries caused by the Vendor’s activities. Vendors acknowledge that this indemnification extends to ZYF’s employees, volunteers, sponsors, and partners.
14. Acknowledgement
By participating in Zion Yoga Fest and submitting you agreeing to this agreement, you agree to the Release, Waiver, and Indemnification terms (found below) as well as all rules, regulations, and policies outlined by ZYF. Failure to comply may result in immediate termination of this agreement and removal from the Event without refund.
Release, Waiver, and Indemnification Agreement
1. General Release and Waiver: Vendors release ZYF from all claims arising from participation in the Event, except those caused by ZYF’s gross negligence or willful misconduct.
2. No Legal Action: Vendors agree not to pursue legal action against ZYF in relation to the Event.
3. Media Release: Vendors consent to ZYF’s use of their images for promotional purposes unless expressly stated otherwise in writing.
4. Assumption of Risk: Vendors voluntarily assume all risks associated with their participation in the Event, including but not limited to physical injury, property damage, or loss.
5. Governing Law and Arbitration: This Agreement is governed by Utah law. Any disputes must be resolved through arbitration in Washington County, Utah.
6. Severability: If any provision is deemed invalid, the remaining provisions remain enforceable to the fullest extent of the law.
15. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your participation and agreement will constitute this as a binding agreement.
Sponsor Agreement
This Sponsor Agreement (this “Agreement”) is entered into by and between Zion Yoga Fest, LLC (“ZYF”) and___________________ (“Sponsor”). This Agreement outlines the standards that the Sponsor agrees to follow when participating in the Zion Yoga Fest (the “Event”).
1. Payment Plan
Sponsor agrees to follow the payment plan outlined in the Sponsorship Package (“Package”) that the Sponsor has chosen. Failure to adhere to the payment plan may result in immediate termination of this agreement without refund, and Sponsor shall remain liable for any unpaid amounts.
2. Exclusive Use of Benefits and Subletting Restrictions
Sponsor agrees to accept the benefits included in the Package they have selected and will not sub-let their space or resell benefits to anyone else. Any violation of this provision will result in the forfeiture of sponsorship benefits and termination of the agreement without refund.
3. Compliance with the Law
The Sponsor agrees to strictly observe all laws and ordinances of the State of Utah, Washington County, Washington County Health Department, the Event host city which in any respect relates to the business conducted by the Sponsor, together with all rules and regulations. Violation of or failure to comply with any of said laws or regulations shall be cause for cancellation of this agreement, resulting in the forfeiture of any payments made to ZYF. The Sponsor further agrees to reimburse ZYF for any costs, fines, or penalties resulting from Sponsor’s non-compliance with these laws and regulations.
4. Sponsor Confirmation Documents
A signed release waiver, Indemnification Agreement, payment, and this Agreement are due in order to confirm you as a Sponsor and before ZYF is able to act on the Package for your business via Sponsor Agreement. This form can be signed and emailed to [email protected] or by signing and submitting it online. Submission of any required documentation or payments after the deadlines outlined by ZYF may result in delayed sponsorship benefits or cancellation of this agreement at ZYF’s discretion without refund.
5. Refunds
Refunds will be issued ONLY IF the Event is cancelled because of unforeseen circumstances and at ZYF’s discretion. If Sponsor cancels before 45 days of event start, $100 of your initial payment will be refunded. NO REFUNDS will be given for cancellation by Sponsor if
canceled up to 45 days before the event. Any cancellations within 45 days of the Event are non-refundable. No refunds are offered on sponsor packages. Food trucks refund policy is the same as Sponsor refund policy. ZYF reserves the right to modify or reschedule the Event at its sole discretion. In such cases, no refund will be issued; however, sponsorship benefits may be carried forward to the rescheduled event or another comparable opportunity as determined by ZYF.
6. Sales Regulations
Taxes, permits, certificates, and any licenses required are the responsibility of the Sponsor. Sponsors are allowed to sell products and are responsible for all taxes associated with such sales. Free samples of products may be provided. ZYF reserves the right to limit the number and types of Sponsors. ZYF also reserves the right to review and approve all products and materials provided or sold by Sponsors during the event to ensure alignment with event values and policies. ZYF may reject or remove any product, material, or Sponsor from the event without prior notice and without refund.
7. Third-Party Excursions
Sponsors may offer services at a third-party location or with a third-party business partner, provided they assume full responsibility for ensuring compliance with all applicable laws and regulations. Sponsors are further required to inform participants of any additional responsibilities or liabilities arising from these excursions. Sponsors acknowledge that such third-party partners are independent entities, and ZYF is not liable for their actions, negligence, or omissions. Sponsors are required to provide liability waivers to participants engaging in these excursions and agree to release ZYF from any claims arising from third-party operations.

Release, Waiver, and Indemnification Agreement
This Release, Waiver, and Indemnification Agreement is hereby given by _________________________(“Indemnitor”), on the one hand, in favor of Zion Yoga Fest, LLC, Event Committee; and all other employees, sponsors, businesses, donors, volunteers, organizers, venues and fundraisers (“Indemnitees”). RECITALS WHEREAS, Indemnitor is a Sponsor or participant at Zion Yoga Fest (hereinafter the “Event”); to be held the day of ____________ 20____ , at properties owned, managed, controlled or rented/leased by Zion Yoga Fest, LLCand Event organizing committee or held virtually; and WHEREAS, Indemnitor recognizes the potential for risk of harm to persons and property at the Event; and
WHEREAS, Indemnitor desires that Indemnitees not be at risk for activities of the Sponsors at the Event, including the activities of Indemnitor. NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, Indemnitor covenants as follows:
AGREEMENT
1. General Release and Waiver:
Indemnitor hereby releases Indemnitees and forever waives Indemnitor’s claims against Indemnitees for any and all claims, causes of action, damages, demands, penalties, and costs, including attorney fees that arise in relation to the Event. This Release extends to claims resulting from the negligence of Indemnitees, except to the extent such claims are caused by the gross negligence or willful misconduct of Indemnitees. Indemnitor acknowledges that this Release applies to all claims or causes of action which currently exist or which have existed, or which may arise or are discovered in the future in relation to Indemnitor’s activities at the Event. Indemnitor expressly waives all rights under any statute or common law principle that would otherwise limit the scope of this Release.
2. No Legal Action:
Indemnitor represents and agrees that they will take no legal action of any kind against Indemnitees in relation to the Event.
3. Media Release
Sponsor consents to the use of its image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If Sponsor does not consent, it will notify the Event organizers in writing before participating. If Sponsor does not consent to such use, it will notify the Event organizers in writing before participating in the Activities.
4. Indemnification Obligations:
Indemnitor shall indemnify and hold Indemnitees harmless for any and all claims, demands, losses, costs, obligations, and liabilities Indemnitees may incur or suffer in direct or indirect relation to: Indemnitor’s acts, omissions, or misconduct at the Event; Any claim by a third party against Indemnitees arising out of Indemnitor’s participation in the Event; Indemnitor’s breach of any agreement, covenant, or warranty in this Agreement; or Claims arising from the organization, operation, or participation in the Event, including claims brought by third parties related to Event operations.
5. Legal Costs:
The indemnity obligations of Indemnitor under this paragraph shall include indemnity for reasonable attorney fees and court costs incurred in defending or settling such claims.
6. Governing Law and Jurisdiction:
This Agreement shall be governed by the laws of the State of Utah and shall be binding upon Indemnitor’s heirs, successors, agents, or assigns. All claims and disputes related to this Agreement shall be resolved exclusively through arbitration. The arbitration venue shall be in Washington County, Utah. Indemnitor waives any objections to the jurisdiction and venue of such arbitration.
7. Third-Party Beneficiaries:
This Agreement is for the benefit of:
(i) Indemnitees, their employees, officers, agents, affiliates, and assigns; and
(ii) all Zion Yoga Fest, LLC employees, volunteers, businesses, donors, sponsors, organizers, and fundraisers.
8. Severability:
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect to the maximum extent permitted by law.
9. Assumption of Risk:
Indemnitor acknowledges and voluntarily assumes all risks associated with participation in the Event, including but not limited to physical injury, property damage, or reputational harm.
10. Governing Law:
This Agreement shall be governed by the laws and in the courts of the State of Utah and by the laws of the United States, excluding their conflicts of law principles. Your agreement, participation, and payments below will constitute this as a binding agreement.
General Participant Agreement and WAIVER OF LIABILITY
1. Participation Acknowledgment
I hereby agree to the following:
I am voluntarily participating in the Zion Yoga Fest (“Event”), which includes but is not limited to yoga sessions, workshops, wellness programs, third-party partners, and other outdoor activities (“Activities”). I understand that the Event takes place in an outdoor setting, with activities occurring from sunrise to after dark, and may involve weather changes, challenging terrain, and other natural conditions. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
I understand that the opinions, services, and instruction provided by Zion Yoga Fest, LLC (“ZYF”), its instructors, or other representatives are not medical advice, consultation, therapy, or treatment. ZYF will not render any medical services, including the diagnosis of any physical or mental condition. Participation in Event activities is not a substitute for medical advice or treatment. Participation in the Event is voluntary, and participants should discontinue any activity that causes discomfort or concern about their health. I further acknowledge that I am solely responsible for consulting with a physician regarding my physical and mental condition before participation.
2. Assumption of Risks
I understand that yoga and other physical activities involve inherent risks, including but not limited to minor injuries (e.g., sprains, strains), serious injuries (e.g., fractures, concussions), or other health complications. I assume all risks, known or unknown, associated with my participation in the Event and accept full responsibility for any injury, illness, or property damage that may result. I am responsible for monitoring my physical limitations and ensuring that I do not exceed them. Risks include environmental factors, interactions with other participants, and equipment use.
I understand that:
-Third-Party Partners: Some Activities, such as guided hiking, canyoneering, rock climbing, biking, 4-wheelers, equipment rentals, accommodations, or partnerships with yoga studios, are operated by independent third-party entities (“Third Parties”). These Third Parties are solely responsible for their offerings, and Zion Yoga Fest disclaims all liability related to such Activities.
-Outdoor Setting Risks: Activities may involve physical exertion, uneven terrain, weather changes, wildlife, and other natural hazards.
-Vendor-Provided Products or Services: I acknowledge that vendors or sponsors at the Event may offer products that include various ingredients or substances that may cause a reaction for certain people, and I assume all risks associated with consuming or using such products. Zion Yoga Fest disclaims liability for actions or offerings by vendors or sponsors.
-General Risks: Participation in the Event involves risks of personal injury, illness, property damage, or other unforeseen issues, including those arising from other participants’ actions or omissions.
3. Medical Representation
I warrant that I am physically and mentally fit to participate in the Event and do not have any
condition that would pose a risk to my health or safety or that of others. I further acknowledge that ZYF is not responsible for pre-existing medical conditions or injuries sustained before the Event and that I am solely responsible for informing ZYF and its Released Parties of any medical concerns.
4. Release of Liability
In consideration of participating in the Activities, I:
-Assume all risks, known and unknown, associated with the Activities and the Event.
-Release and discharge Zion Yoga Fest, its organizers, employees, agents, volunteers, sponsors, and affiliates (“Released Parties”) from any and all claims, liabilities, or causes of action arising from my participation in the Event. This waiver applies to any and all claims under state or federal laws, to the fullest extent permitted by law, except for claims resulting from gross negligence or willful misconduct by the Released Parties.
5. Indemnification
I agree to indemnify and hold harmless the Released Parties from any claims, damages, or expenses (including attorney fees) arising from my actions or omissions during the Event. This indemnity does not apply to claims resulting from gross negligence or willful misconduct by the Released Parties.
6. Behavioral Expectations
I agree to:
-Adhere to a code of conduct that prohibits harassment, including sexual harassment or other
inappropriate behaviors, as well as the use or distribution of controlled substances during the Event.
-Refrain from engaging in any prohibited behaviors or actions that endanger others or violate Event policies.
-Understand that failure to comply with these expectations may result in my removal from the Event without refund, and I assume full responsibility for my actions.
6. Media Release
I consent to the use of my image, likeness, and voice in photographs, videos, or other promotional materials created by Zion Yoga Fest. If I do not consent to such use, I will notify the Event in writing before participating in the Activities.
7. Arbitration and Venue
Any dispute arising out of this Agreement must first go through mediation. Any dispute that is unable to be resolved through mediation shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The sole venue for arbitration shall be in Washington County, Utah. Each party shall bear its own costs and attorney fees unless otherwise awarded by the arbitrator.
8. Governing Law and Severability
This Agreement shall be governed by the laws of the State of Utah. If any provision of this Agreement is deemed invalid or unenforceable, the remaining provisions shall remain in full force and effect.
9. Force Majeure

If the participant is a minor: I as the parent or legal guardian of (the “Minor”), hereby consent to the Minor’s participation in the Event. I understand and accept all risks on behalf of the Minor and agree to the terms of this Release and Waiver of Liability.
Acknowledgment of Understanding
I have read this agreement carefully, understand its terms, and voluntarily agree to its conditions. By purchasing my pass, participating in Event activities I agree to this agreement, I acknowledge that I am waiving substantial legal rights, including the right to sue.
Refund Policy
NO REFUNDS AT ANY TIME.
Transfer Policy
NO REFUNDS AT ANY TIME but you may transfer your pass to another person's name. The cost to transfer is $10.
